This agreement is legally binding between Starbien Cash EIRL and you, as an independent contractor. Please read and accept these terms before using our platform. By checking the acceptance box or using our platform, you confirm that you have read, understood, and accept these terms in their entirety. If you do not agree with any term, please refrain from registering or using the platform in any capacity.
1. Definitions
Starbien Cash EIRL, incorporated in Lima, Peru.
Starbien LLC, incorporated in Wyoming, United States.
Independent Contractor / You: You.
User: any person who has created an account on the Platform as a User.
The Platform: A set of applications, websites, databases, and computer systems owned by Starbien LLC, accessible by Independent Contractors through a license granted by Starbien LLC to Starbien Cash EIRL.
2. Establishment of the Independent Professional Relationship
By accepting this Agreement as an Independent Contractor, you acknowledge that your relationship is solely with Starbien Cash EIRL and that no contractual relationship is established with Starbien LLC. This relationship does not imply a partnership, employment, or rights to profits or additional benefits. Starbien Cash EIRL acts only as a payment intermediary between the users and you, without supervising your method of work. You cannot bind Starbien Cash EIRL in contracts or commitments with third parties nor present yourself as its representative.
3. Access to the Platform
You understand that Starbien LLC owns the Platform and that Starbien Cash EIRL has a limited, non-exclusive, and revocable license to allow you access to the Platform. This license enables you to create an account, accept the Terms and Conditions, access administrative tools, and offer services to users.
Starbien Cash EIRL does not manage or operate the Platform, limiting its role exclusively to managing payments to Independent Contractors.
4. Definition and Scope of Services Provided
As an Independent Contractor, you declare that you hold a recognized degree in psychology in your country of residence and experience in treating anxiety and depression. You agree to provide emotional support or mental health services online through the Starbien LLC platform, using videoconferences and online calls with a proper connection.
You may only offer services classified as "psychological therapy" if both you and the user reside in the same country and your professional degree is legally recognized. Otherwise, the services will only be considered "emotional support" and not therapy. It is your responsibility to communicate this to the user.
You agree to use only the communication channels provided by the platform and to avoid sharing personal contact information outside of it. Any service provided outside the platform constitutes a violation of this agreement and may result in the termination of your relationship with Starbien Cash EIRL and possible legal action for damages.
5. Maintenance, Profile Update, and Availability
As an Independent Contractor, you agree to keep your profile updated on the Platform, ensuring that all provided information, including credentials, availability, and personal and professional details, is accurate and relevant. You acknowledge that users can schedule sessions from the types of paid and free therapy you have enabled, including 30- and 50-minute personal therapy, 50-minute couple therapy, and 10- and 20-minute express calls, according to your availability. Failure to update or inaccuracies in your information may result in the suspension or termination of your access to the Platform.
6. Service Liability Clause
You release Starbien Cash EIRL and Starbien LLC from all liability arising from the services you provide to users through the Platform. You assume full responsibility for the quality, safety, and compliance of your services and agree to address any legal actions users may take against Starbien Cash EIRL or Starbien LLC as a consequence of your services. You agree to bear all costs, liabilities, and legal consequences resulting from your professional practice and interactions with users of the Platform.
7. Payment of Fees
As an Independent Contractor, you agree to keep your payment information up-to-date and accurate in the "Payments" section of the Platform, accessible from the main menu. It is essential that this information is correct to ensure proper processing of payments for services rendered.
In the "Payments" section, you will find the current fees for the services provided, which are subject to change at the discretion of Starbien Cash EIRL. It is your responsibility to regularly review this section to stay informed about the current fees. Any modification will be considered accepted with the continued use of the platform.
Starbien Cash EIRL does not guarantee a specific volume of sessions or income. The availability of work and your earnings depend on external factors such as demand, your availability, and the quality of your services. Starbien Cash EIRL shall not be liable for business losses or unmet expectations.
Payments will be processed once you upload your invoice issued to Starbien Cash EIRL, with the description “Emotional Support Services for Users,” for the amount corresponding to your settlement. To be processed, the amount must be equal to or greater than USD 50. If the amount is lower, it will be carried over to the next payment period.
Starbien Cash EIRL may use external platforms to issue payments, so the net amount received may vary due to transfer fees or other charges applied by banks or payment platforms. We recommend that you check for any additional charges that may apply in your jurisdiction.
Starbien Cash EIRL guarantees transparency in the settlement of payments, but you must ensure you are aware of any additional fees and charges applied.
8. Access to the Content creators platform
If you, as an Independent Contractor for Starbien Cash EIRL, apply and are approved to participate in the Content creators program, you will be granted access to the Content creators Platform. This access will allow you to view your earnings generated from your participation in the content creation program, managed through the platform.
Acceptance of Terms and conditions for Content creators:
By accepting your role as a Content creator, you agree to comply with the additional terms and conditions applicable to content creation, which will be accessible within the Content creators Platform. Acceptance of these additional terms is mandatory to participate in the program, and they are considered an extension of the terms and conditions applicable to your role as an Independent contractor.
The specific terms for Content creators will cover aspects related to shared intellectual property, restrictions on the use of content on other platforms, and your participation in the subscription revenue program, among others. You acknowledge that failure to comply with any of these conditions may result in the suspension of your participation in the program and the termination of your access to the Content creators platform.
9. Tax Obligations
You accept full responsibility for complying with all applicable tax and regulatory obligations in your country as an Independent Contractor, including issuing valid fee receipts and declaring the income received from Starbien Cash EIRL.
Starbien Cash EIRL is not responsible for withholding or paying taxes, social contributions, or other levies on your behalf. The management of all tax and legal obligations arising from your services rests entirely with you.
10. Personal Use and Intellectual Property
As an Independent Contractor, you acknowledge that your account on the Platform is for your exclusive and personal use. You agree not to share, modify, decompile, or create derivative works from the content of the Platform, including videos, readings, and other materials, which are the property of Starbien LLC and are protected by intellectual property laws.
You may only use the therapeutic tools available on the Platform for the services offered to users within it. Any breach may result in the suspension or termination of your access, without prejudice to legal actions by Starbien Cash EIRL.
11. Privacy Policy
As an Independent Contractor, you commit to maintaining the confidentiality and security of user information obtained through the Platform. This obligation persists even after the termination of this Agreement:
Maintain strict confidentiality and use the information solely for the provision of agreed services.
Implement appropriate security measures to protect the data from unauthorized access.
Immediately notify Starbien Cash EIRL of any security breach.
Comply with data protection and privacy laws applicable in your jurisdiction.
Failure to comply with these provisions may lead to the suspension or termination of your access to the Platform, without prejudice to legal actions.
12. Brand Image
As an Independent Contractor, you acknowledge that the "Starbien" brand and its graphic elements are the exclusive property of Starbien LLC. The use of the brand or its graphics requires written authorization from Starbien LLC. You agree not to use the brand or its graphic assets in a manner that suggests a false association or infringes the intellectual property rights of Starbien LLC.
13. Clause on Modification of Terms and Conditions
Starbien Cash EIRL reserves the right to modify these Terms and Conditions at any time without prior notice. Changes will be effective upon their publication on the Platform.
It is your responsibility to periodically review the Terms and Conditions to stay informed of any changes. If you continue to use the Platform after notification, it will be considered that you accept the modifications. If you do not agree, you may stop using the Platform.
14. Applicable Law and Jurisdiction
Mandatory Arbitration: Any dispute or claim arising from this Agreement will be resolved through binding arbitration administered by a legally recognized arbitration center by the Ministry of Justice and Human Rights of Peru, in the city of Lima.
The arbitration will be conducted individually, in Spanish, and in Lima, Peru. The arbitrator’s decision will be final and binding and may be entered as a judgment in competent courts.
Applicable Law: This Agreement shall be governed by the laws of Peru.
