This document is a legally binding agreement between Starbien LLC and you as the User. Please read it carefully before accepting. By checking the acceptance box, creating an account, or using our platform, you confirm that you have understood and accept the terms and conditions set forth herein.
You declare that you are of legal age, have the legal capacity to enter into a contract, and have no impediments to accepting these Terms and Conditions. If you do not agree with these terms, we ask that you do not create an account or use our platform.
1. Definitions
Starbien: Starbien LLC, incorporated in Wyoming, United States.
Independent Contractor: A psychologist holding a professional psychology degree in their country of residence.
User / You: You
The Platform: It is the set of applications, websites, databases, and IT systems offered by Starbien as services that can be contracted.
2. Clause on the Nature of Services
Through the Starbien platform, you have access to online solutions for managing anxiety, depression, and other conditions. These include programs with videos, readings, exercises, meditations, yoga, and various interactive tools such as chatbots, agendas, and journals. Additionally, you can book therapy or emotional support sessions with psychologists, who may not reside in your country, using the platform’s features to select, change, and communicate with Independent Contractors via video calls, online calls, and messages.
International Emotional Support Services: You understand and agree that Independent Contractors are psychologists with licenses valid only in their country of residence, and these licenses may not be recognized in other countries. Therefore, if you and the psychologist do not reside in the same country, the services offered are not considered psychological therapy but only Emotional Support.
Starbien has no direct relationship with the Independent Contractors.
Independent Contractors are not employees, agents, or representatives of Starbien, which only acts as a technological and administrative intermediary, without responsibility for the quality or outcomes of the services provided.
Use of Programs, Resources, and Tools: You acknowledge that Starbien’s programs and resources are designed to complement your well-being and emotional management. Although the content has been carefully created to support you, the results depend primarily on your commitment and discipline, factors beyond Starbien’s control. These resources do not replace professional psychological therapy. Therefore, you agree not to make legal claims against Starbien based on specific expectations of results or misinterpretations of the content as a replacement for professional care.
Responsibility in Emergency Situations: As a user, you agree to take immediate action for your safety and the safety of others if you perceive that your mental state poses a risk. This includes informing a trusted person and contacting local emergency services for professional help.
You understand that Starbien and the Independent Contractors cannot provide the necessary support in situations involving a direct threat to life or physical integrity, acknowledging that you should seek appropriate professional assistance outside the platform in crisis cases.
3. Disclaimer of Liability and Limitation of Services
In relation to the services provided by Independent Contractors, Starbien acts solely as a facilitator, connecting Users of the Platform with these Independent Contractors. Starbien is not the provider of these services and does not guarantee their quality, legality, safety, or effectiveness. Any claims related to malpractice, promises of results, or the quality of the service are the sole responsibility of the Independent Contractor.
Regarding the programs, resources, and other tools available on the platform, they are intended to complement your emotional well-being as emotional support and do not replace professional psychological therapy or evaluations. You acknowledge that any activity should be undertaken at your own risk and assume all risks associated with the use of the Platform, including technological risks such as service interruptions. You agree not to make any legal claims against Starbien, its affiliates, or employees for direct, indirect, or consequential damages arising from your use of the platform, or the services provided by the Independent Contractors.
4. Privacy Policy
Starbien is committed to protecting the privacy and personal data of its Users. This policy explains the collection, use, protection, and management of data in the context of the services offered through the platform.
Data Collection and Use: The data collected includes name, email, contact information, and details of platform usage, used to improve services, facilitate communication, and personalize the experience. Data is shared only with Independent Contractors as necessary for the services.
Data Protection: Starbien uses security measures to protect information against unauthorized access and alterations. Users have the right to access, correct, delete, or restrict the use of their personal information.
Changes to the Policy: Starbien reserves the right to modify the policy at any time.
5. Personal Use and Intellectual Property
You agree that the account created on the platform is for your exclusive and personal use, committing not to share or reproduce its content in any way. You acknowledge that all content on the platform, including videos, readings, exercises, methodologies, processes, and graphic material, is the property of Starbien and is protected by intellectual and industrial property laws. Any unauthorized use of this content constitutes an infringement of these rights and may result in the suspension of your access to the platform and corresponding legal actions.
6. Clause on Modification of Terms and Conditions
Starbien reserves the right to modify, alter, add, or remove parts of these Terms and Conditions at any time and without prior notice. Modifications will take effect immediately upon their publication on the platform. It is the User's responsibility to periodically review the updated Terms and Conditions. If you continue to use the platform after the changes, it will be considered that you accept the modifications. If you do not agree, you must stop using the platform and its services.
7. Applicable Law and Jurisdiction
Mandatory Arbitration: All disputes related to this Agreement shall be resolved through binding arbitration administered by a recognized arbitration entity. This arbitration will be individual, not collective, and both Starbien and You waive the right to a jury trial or class action. The proceedings will be confidential.
Arbitration Procedures: The proceedings will be conducted in English, in Wyoming, USA, unless otherwise agreed. The arbitrator’s decision will be final and binding.
Applicable Law: This Agreement shall be governed by the laws of the State of Wyoming, without regard to conflict of laws principles.
Jurisdiction: For matters not subject to arbitration, the parties submit to the exclusive jurisdiction of the courts of Wyoming.
Waiver of Jurisdiction: You waive any objections regarding the jurisdiction or venue of the proceedings.
Limitation of Liability: Any action against Starbien shall be limited to a refund of the amount paid. If Starbien prevails, You shall reimburse all legal costs, including attorney fees.
Consent: By accepting, you acknowledge understanding and being legally bound by these terms under the exclusive jurisdiction of Wyoming.
